Overview

OT is led by Jen C. J. ZHAI and consists of 10 members, which specializes in investment and financing, as well as foreign-related legal services. We provide a comprehensive range of legal services, including domestic and international investments, mergers and acquisitions, domestic and international capital markets, international trade, foreign-related private matters, perennial legal advisory services, and dispute resolution (both litigation and non-litigation). With our extensive experience in investment and financing through a collaborative team-based approach, emphasizing professional research, high efficiency, and clear division of responsibilities, OT has conducted numerous non-litigation projects and litigation cases in the aforementioned fields and has substantial experience as long-term legal counselors to enterprises.

Our Honors

Assisted Winda Opto-Electronic Co., Ltd. successfully listing on the Beijing Stock Exchange (873001.BJ) in 2022, which is the first successful BSE listing project undertaken by Yingke Guangzhou.

Assisted in the filing of the overseas refinancing project of Hong Kong-listed company Energy International Investments Holdings Limited (00353.HK) with the China Securities Regulatory Commission (CSRC). This project marks the first CSRC filing for an overseas refinancing project of a Hong Kong-listed company handled by Yingke Guangzhou.

Represented our client in obtaining a ruling from China Securities Regulatory Commission Guangdong office, concluding that no insider trading violations occurred, over a period of three years (2020-2023), which became the first typical case of insider trading in administrative dispute of capital market undertaken by Yingke Guangzhou.

The "Completion of CSRC Filing for Post-Overseas-Listing Refinancing of a Hong Kong-Listed Company Project" undertaken by the team was awarded the 2024 Business Achievement Award by the Guangzhou Lawyers Association.

In December 2024, the "Full-Process Legal Services for a Chinese Enterprise's Greenfield Investment in Mexico Programme" was selected as one of the 20 outstanding typical cases in the "Cross-Border Trade, Investment, and Mergers & Acquisitions Legal Services" category at the 2024 Boao Forum for Entrepreneurs.

In March 2024, the "Full-Process Legal Services for a Chinese Enterprise's Greenfield Investment in Mexico Programme" was selected as an outstanding typical case in the "Cross-Border Trade, Investment, and Mergers & Acquisitions Legal Services" category at the 2024 Boao Forum for Entrepreneurs.

The "Full-Process Legal Services for a Chinese Enterprise's Greenfield Investment in Mexico" was honored as one of the "Top Ten Outstanding Foreign-Related Service Cases" in the 2023 Yingke awards.

In November 2023, the "Full-Process Legal Service for Overseas Direct Investment" was awarded the "Excellence Award" in the finals of the first Guangdong Province Foreign-Related Legal Service Product Competition.

The article titled "Practicing Xi Jinping's Thought on the Rule of Law, Leveraging the Expertise of Foreign-Related Lawyers, and Assisting Guangdong Enterprises in Steady 'Going Global'", written by Party member lawyers of OT, won the third prize in the "Telling the Story of Guangdong Lawyers, Being a Lawyer Satisfied by the Party and the People" essay competition sponsored by Guangdong Lawyer Industry Party Committee and Guangdong Lawyers Association.

The "Cross-Border Will Execution Project" organized by OT won the third prize in the Guangdong Lawyers Association's selection of "Excellent Legal Services Cases in the Greater Bay Area (Guangdong-Hong Kong-Macao) for the years 2019-2022".

The "Acquisition of the Xinjiang Karamay Natural Gas Industrial Park Pipeline Transport Project by China Energy Development Holdings Limited (00228.HK)" organized by OT won the third prize in the Guangdong Lawyers Association's selection of "Typical Cases of Guangdong Foreign-Related Legal Services from 2014 to 2018".

The "Man Wah Holdings Limited (01999.HK) HKD 534 million Acquisition of a Functional Sofa Project in Vietnam" organized by OT received an honorable mention in the Guangdong Lawyers Association's selection of "Typical Cases of Guangdong Foreign-Related Legal Services from 2014 to 2018".

The " Acquisition of the Guangzhou Jiangwan New City Project by Yango Group Co.,Ltd. (000671.SZ)" organized by OT was awarded one of the "Top Ten Non-Litigation Typical Cases" in Yingke Guangzhou's tenth-anniversary celebration.

The "Securities False Statement Liability Dispute Case between Wei and 25 Others vs. Foshan Electrical and Lighting Co.,Ltd. (000541.SZ)" represented by OT was recognized as one of the "Top Ten Civil and Commercial Typical Cases" during Yingke Guangzhou's tenth-anniversary celebration.
